1. Agreement to Terms

By accessing or using Minute Long Solutions' services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services. These terms constitute a legally binding agreement between you and Minute Long Solutions.

2. Services Description

Minute Long Solutions provides comprehensive software development, mobile solutions, and engineering services. Our services include but are not limited to:

  • Web Development & Design
  • Mobile Application Development
  • Engineering & Technical Consulting
  • Project Management & Planning
  • Security & Compliance Solutions
  • Cloud Infrastructure & DevOps

3. Intellectual Property Rights

3.1 Our Intellectual Property

  • We retain all rights to our proprietary software, tools, methodologies, and trade secrets
  • Our trademarks, service marks, logos, and brand features are our exclusive intellectual property
  • Documentation, training materials, and know-how are protected by copyright and trade secret laws
  • Any pre-existing intellectual property remains our exclusive property

3.2 Client Deliverables

  • Clients receive ownership rights to custom deliverables as specified in individual project agreements
  • Licensed software remains subject to respective third-party license terms
  • Open-source components are subject to their original open-source licenses
  • Work-for-hire provisions apply as specified in project contracts

4. Financial Terms & Payment

4.1 Payment Terms

  • Payment schedules and amounts are defined in individual project agreements
  • Invoices are due within 30 days of issuance unless otherwise specified
  • Late payments may incur additional fees of 1.5% per month
  • All fees are exclusive of applicable taxes
  • Payment disputes must be raised within 10 days of invoice receipt

4.2 SOX Compliance & Financial Controls

  • Financial transactions are recorded according to Generally Accepted Accounting Principles (GAAP)
  • Internal controls are maintained for financial reporting and compliance
  • Regular audits ensure compliance with Sarbanes-Oxley Act requirements
  • Financial records are maintained for the required statutory period

5. Confidentiality & Data Protection

  • All non-public information shared between parties is treated as confidential
  • Non-Disclosure Agreements (NDAs) govern information sharing and protection
  • Security measures protect client data, including encryption and access controls
  • Employee training ensures proper handling of confidential information
  • Data retention policies comply with applicable regulations
  • Breach notification procedures are in place for security incidents

6. Warranties & Disclaimers

  • Services are provided "as is" and "as available" without warranties of any kind
  • We do not warrant that services will be uninterrupted or error-free
  • Specific warranties may be provided in individual project agreements
  • Third-party services and components are provided without warranty
  • We disclaim all implied warranties, including merchantability and fitness for purpose

7. Limitation of Liability

To the maximum extent permitted by law, Minute Long Solutions shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or downtime
  • Force majeure events beyond our reasonable control
  • Damages arising from third-party actions or services

Total liability shall not exceed the amount paid for services in the 12 months preceding the claim.

8. Termination & Suspension

Either party may terminate services under the following conditions:

  • With written notice as specified in individual project agreements
  • For material breach of these terms or project agreements
  • For bankruptcy, insolvency, or cessation of business operations
  • For violation of applicable laws or regulations
  • We may suspend services for non-payment or security concerns

9. Governing Law & Dispute Resolution

These terms are governed by the laws of the State of Georgia, United States. Any disputes shall be resolved through:

  1. Good faith negotiations between parties
  2. Mediation if negotiations fail
  3. Binding arbitration in Atlanta, Georgia if mediation fails
  4. Court proceedings only as a last resort in Fulton County, Georgia

10. General Provisions

  • These terms constitute the entire agreement between parties
  • Amendments must be in writing and signed by both parties
  • If any provision is found unenforceable, the remaining provisions remain in effect
  • No waiver of rights shall be implied from conduct
  • These terms are binding on successors and assigns
