5. Financial Terms & Payment

• Fees, schedules, and payment methods are defined in individual proposals or contracts
• Unless otherwise agreed, invoices are due within 30 days of issuance
• Late amounts may accrue interest or fees as stated in the project agreement (or 1.5% per month where permitted and agreed)
• Fees are exclusive of applicable taxes unless stated otherwise
• Invoice disputes should be raised promptly and in good faith (within 10 days of receipt when feasible)

We maintain reasonable business and financial records consistent with applicable requirements for a company of our size and jurisdiction.

6. Confidentiality & Data Protection

• Non-public information shared for a project is treated as confidential
• NDAs or project contracts may add further confidentiality obligations
• We use reasonable security practices to protect client materials we handle
• Website data practices are described in our Privacy Policy

7. Warranties & Disclaimers

• The website is provided “as is” and “as available”
• We do not warrant uninterrupted or error-free access to the site
• Project-specific warranties, if any, are only those stated in a signed agreement

8. Limitation of Liability

Our total liability for any claim related to the website or a service engagement will not exceed the fees you paid us for the specific services giving rise to the claim during the 12 months before the claim (or $100 if no fees were paid), except where liability cannot be limited by law.

Either party may end a paid engagement as set out in the applicable agreement. We may suspend access to the website or refuse service for:

• Material breach of these Terms or a project agreement
• Non-payment
• Security, fraud, or abuse concerns
• Legal or regulatory requirements

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law rules. Disputes should first proceed through:

1. Good-faith negotiation
2. Mediation if negotiation fails
3. Binding arbitration in Atlanta, Georgia if mediation fails
4. Court proceedings in Fulton County, Georgia only as a last resort where permitted

11. General Provisions

• These Terms (plus any signed project agreement and the Privacy Policy) are the full agreement for website use and general service terms
• Changes to these website Terms are effective when posted with an updated date
• If any provision is unenforceable, the rest remain in effect
• Failure to enforce a right is not a waiver
• These Terms bind permitted successors and assigns
